FORM OF ASSIGMENT

ASSIGNMENT AGREEMENT

Between:

First Party - CHEQ Technologies Sdn Bhd incorporated under the laws of Malaysia with the registered office at G-03-03, Plaza Kelana Jaya, Jalan SS 7 /13A, 47301, Petaling Jaya, Selangor, Malaysia (the "Company").

Second Party - {{buyerName}} a company incorporated under the laws of Malaysia with its registered office at {{buyerAddress}} (the "Buyer")

Third Party - {{sellerShopName}}, incorporated under the laws of Malaysia with the registered office at {{sellerAddress}} (the "Merchant");

The Company, the Buyer and the Merchant shall all collectively hereinafter referred to as the "Parties".

NOW, THEREFORE, for and in consideration of the foregoing recitals and the mutual promises, representations, understandings, undertaking and agreements hereinafter set forth, the parties agree to enter into the following assignment and addendum agreement:

1.1 The Buyer has entered into an agreement with the Company dated {{orderPlacedTimestamp}} ("Buyer's Agreement") for the use of the CHEQ B2B Marketplace ("Platform").

1.2 The Merchant has entered into an agreement with the Company dated {{orderApprovedTimestamp}} ("Merchant's Agreement") where the Merchant provides its products ("Products") for sale on the Platform.

1.3 The Buyer has purchased from the Merchant certain Products via the Platform with the following Platform-Generated Transaction Numbers:

1.4 With effect from {{orderPlacedDate}}:

(a) the Merchant irrevocably and unconditionally assigns all its rights to receive the amounts set out under any and all documents/invoices/payables arising from the Platform-Generated Transaction Numbers ("Payables") to the Company and authorizes the Buyer to make all payments under such Payables arising from the transactions pursuant to the Platform-Generated Transaction Numbers to the Company;

(b) the Company accepts the assignment by the Merchant of the Merchant s rights to receive the amounts set out under the Payables arising from the transactions pursuant to the Platform-Generated Transaction Numbers from the Buyer; and

(c) the Buyer accepts and consents to the assignment by the Merchant of the Merchant s rights to receive the amounts under the Payables arising from the Platform-Generated Transaction Numbers and further agrees to make such payments under the Payables arising from the Platform-Generated Transaction Numbers to the Company.

1.5 All terms and conditions of the Buyer s Agreement and the Merchant s Agreement shall remain unmodified and in full force and effect, except to the extent expressly modified by this Assignment Agreement.
